Many of the Washington State laws addressing corporate governance and directors and officers liability parallel with the laws of Delaware, which is the recognized model of corporate governance in the United States. Often, Washington State law appears to be more consumer oriented than the laws of Delaware. However, corporate directors’ and officers’ liability under Washington law cannot operate without consideration of such federal laws as those governing the offering, sale and purchase of securities, and the federal laws governing employment practices.
